Terms of Service

These Terms of Service ("Terms") govern your access to and use of Atlen Relay, the healthcare referral coordination platform operated by Atlen Relay LLC, a Mississippi limited liability company ("Atlen," "we," "us," or "our"). By creating an account, accessing, or using Atlen Relay, you agree to these Terms. If you do not agree, do not use the platform.

1. Who can use Atlen Relay

Atlen Relay is built for licensed healthcare professionals and their authorized staff. To create a provider account, you must:

Be at least 18 years old.
Hold a current, unrestricted license to practice in the United States, or be authorized staff acting under the direction of a licensed provider.
Provide an accurate National Provider Identifier (NPI) number that we can verify against the federal NPPES registry.
Provide accurate, complete, and current information about yourself, your credentials, and your practice.

We reserve the right to require additional verification, suspend accounts pending review, or refuse service to anyone whose credentials we cannot confirm.

2. The service we provide

Atlen Relay is a coordination platform. Specifically, we:

Provide a directory of healthcare providers sourced from public NPPES data.
Allow verified providers to send referrals containing patient information to other providers.
Deliver those referrals via email, fax, and SMS (where applicable) to the receiving provider.
Track referral status and facilitate the return of consult notes from receiving providers to referring providers.
Automate prior authorization fax submissions to insurance carriers when requested.
Charge a per-accepted-referral fee, when applicable, to the receiving provider's saved payment method.

Atlen Relay is not a medical service. We do not practice medicine, diagnose conditions, recommend treatments, or make clinical decisions. Atlen Relay is a coordination tool. All clinical decisions remain the sole responsibility of the licensed providers using the platform. We are not liable for medical outcomes.

3. Your account

You are responsible for:

Keeping your login credentials secure. Do not share your password.
All activity that occurs under your account, whether or not authorized by you.
Notifying us immediately at [email protected] if you believe your account has been compromised.
Promptly updating your information if your credentials, license, contact information, or practice details change.

4. Acceptable use

When using Atlen Relay, you agree not to:

Submit referrals containing false, fabricated, or misleading patient information.
Send referrals for patients who have not consented to be referred (where consent is required by your state's law).
Use the platform for any purpose other than legitimate clinical referral coordination.
Send unsolicited commercial messages, spam, or advertising through the platform.
Attempt to access information about patients or providers that is not directed to you.
Impersonate another provider, falsify your credentials, or claim a provider listing that does not belong to you.
Reverse engineer, scrape, or attempt to extract data from the platform beyond what the user interface provides.
Introduce malware, viruses, or other malicious code into the platform.
Interfere with the security or operation of the platform or other users' accounts.

Violation of these rules may result in immediate suspension or termination of your account, forfeiture of any unpaid balances owed to you, and referral to law enforcement or licensing boards where appropriate.

5. Patient information and HIPAA

By submitting patient information through Atlen Relay, you represent and warrant that:

You have a treatment relationship with the patient or are otherwise authorized to disclose the patient's information for the purpose of the referral.
The disclosure is permitted under HIPAA's "treatment, payment, and operations" provisions, or you have obtained the patient's written authorization.
You comply with your own organization's HIPAA Notice of Privacy Practices and applicable state laws.

Atlen Relay LLC acts as a Business Associate to your practice when handling Protected Health Information ("PHI"). For practices that require a signed Business Associate Agreement, contact us at [email protected].

6. Billing and fees

Early access — free through 2026

Atlen Relay is free for all providers through December 31, 2026. No charges of any kind will be billed to receiving or referring providers during this period — sending referrals, accepting referrals, prior authorization automation, and consult note return are all included at no cost.

We will give you at least thirty (30) days' written notice via email before any fees become applicable to your account. The earliest fees could begin is January 1, 2027. Your continued use of the platform after the notice period constitutes acceptance of the fees described below.

Standard pricing

Receiving providers are charged $10.00 USD per accepted referral, billed to the payment method on file at the time the referral is marked as accepted (acknowledged or scheduled) by the receiving provider.
Referring providers are not charged for sending referrals.
Patients are not charged anything by Atlen Relay. Any charges for medical services come from the providers, not from us.

Payment processing

All payments are processed by Stripe, Inc. By providing a payment method, you authorize Atlen to charge that payment method for accepted referrals and any applicable fees. Charged fees are non-refundable except where required by law.

Disputes and chargebacks

If you believe a charge is incorrect, contact [email protected] within thirty (30) days of the charge. Repeated chargebacks without a good-faith effort to resolve disputes with us first may result in account termination.

Pricing changes

We may change our pricing with at least thirty (30) days' notice via email to providers with active accounts.

7. Intellectual property

Atlen Relay's platform, including its software, design, brand, logos, and content (excluding user-submitted content), is owned by Atlen Relay LLC and protected by copyright, trademark, and other laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the platform in accordance with these Terms. You may not copy, modify, distribute, sell, or create derivative works from any part of the platform without our prior written consent.

You retain ownership of the patient information and clinical content you submit. You grant Atlen a limited license to use that content solely to operate and improve the platform, deliver referrals, and meet our legal obligations.

8. Disclaimers

Atlen Relay is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, or uninterrupted operation. We do not warrant that the platform will be error-free, that defects will be corrected, or that the platform is free of viruses or harmful components.

The provider directory is sourced from public NPPES data and may contain inaccuracies. Verify the receiving provider's contact information independently before relying on a referral being received.

9. Limitation of liability

To the maximum extent permitted by law:

Atlen Relay LLC, its officers, directors, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, lost data, or loss of goodwill, arising out of or related to your use of the platform.
Our total cumulative liability for any claim arising out of these Terms or your use of the platform is limited to the greater of (a) the total fees you paid to Atlen in the twelve (12) months immediately preceding the event giving rise to the claim, or (b) one hundred U.S. dollars ($100).
Nothing in these Terms limits liability that cannot be limited under applicable law, including liability for gross negligence, willful misconduct, or fraud.

10. Indemnification

You agree to indemnify and hold Atlen Relay LLC harmless from any claim, demand, loss, or damage (including reasonable attorneys' fees) arising out of or related to: (a) your use of the platform, (b) your violation of these Terms, (c) your violation of any third-party right (including HIPAA or any patient's privacy rights), or (d) any clinical decision you make in connection with a referral.

11. Termination

You may close your account at any time by emailing [email protected]. We may suspend or terminate your account at our discretion, with or without notice, if we reasonably believe you have violated these Terms, applicable law, or pose a risk to other users or the platform.

Upon termination:

You lose access to the platform and any unbilled accepted referrals become immediately due.
We retain referral records and PHI as required by law and our Privacy Policy.
Sections of these Terms that by their nature should survive termination (including Sections 7–10, 12, and 13) will survive.

12. Governing law and disputes

These Terms are governed by the laws of the State of Mississippi, without regard to its conflict-of-laws principles. Any dispute arising out of or related to these Terms or the platform will be resolved exclusively in the state or federal courts located in Mississippi, and you consent to the personal jurisdiction of those courts.

Before initiating litigation, you agree to first attempt to resolve any dispute informally by contacting us at [email protected]. Both parties agree to negotiate in good faith for at least thirty (30) days.

13. Changes to these Terms

We may modify these Terms from time to time. Material changes will be communicated via email to the address on file with your account at least thirty (30) days before they take effect. Continued use of the platform after changes take effect constitutes acceptance.

14. Miscellaneous

Entire agreement. These Terms, together with our Privacy Policy, constitute the entire agreement between you and Atlen regarding the platform.
Severability. If any provision is found unenforceable, the remaining provisions will remain in full force.
No waiver. Our failure to enforce any provision is not a waiver of that provision.
Assignment. You may not assign these Terms without our written consent. We may assign them to a successor entity in connection with a merger, acquisition, or sale of assets.
Notices. We will send legal notices to the email on your account. You will send notices to [email protected].
